**Seat:** Independent operations consultant  
**Term:** 13 April 2026 to 10 July 2026  
**Days:** 6 days per month, dates agreed each month in writing

### Scope

Attend and shape the weekly decision forum. Draft the operating cadence (one page). Coach the customer-exception owners. Write one travelling proof paragraph the Client may reuse.

### Out of scope

Hiring. Software implementation. Legal or tax advice. Acting as an employee or statutory director.

### Commercials

Day rate 1,100 GBP. Monthly fee = days worked that month × day rate, invoiced in arrears. Extra days only if both parties write them down before the work.

### Change rule

If the Client asks for work outside scope, the Consultant will say so in writing and pause until the extra days or a new SOW exist. Silence is not approval.

### Working rhythm

One decision forum per week. A written update on the last working day of each month. No standing Slack obligation.

### End

Either party may end the remaining months with 14 days' written notice. Work already done is payable. Materials produced under this SOW stay with the Client. The Consultant may reuse anonymised methods.
